1. Acceptance of Terms

By accessing or using Willup's website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations of the Republic of South Africa. If you do not agree with any part of these terms, you must not use our services.

These terms constitute a legally binding agreement between you and Willup. Your continued use of our platform signifies your acceptance of any modifications to these terms.

2. Services Description

Willup provides the following estate planning services:

  • Interactive will creation tool compliant with South African legal requirements
  • Free Willup Vault with 500MB secure storage for important estate-related documents
  • Beneficiary and asset allocation management system
  • Executor appointment and management features
  • Testamentary trust provisions included at no additional cost
  • Comprehensive executor guide for estate administration
  • Access to partner services including legal professionals and financial advisors

Free Willup Vault - Included with Every Account

Every Willup account includes complimentary access to the Willup Vault, a secure document storage system with the following features:

  • 500MB Free Storage: Store critical estate documents including wills, property deeds, insurance policies, financial statements, and other important files
  • Bank-Level Encryption: All documents are encrypted both in transit and at rest using industry-standard AES-256 encryption
  • Controlled Access: Grant your appointed executor access to vault contents only when they need it
  • Secure Upload: Support for multiple file formats including PDF, images, and documents
  • Version Control: Track document versions and updates over time

Storage Management: Users are responsible for managing their storage within the 500MB limit. If additional storage is needed, premium storage upgrades are available (see Section 8: Payment Terms).

Important: Willup is a technology platform that facilitates estate planning. We are not a law firm and do not provide legal advice. For legal guidance specific to your situation, please consult a qualified attorney.

3. Account Registration and Access

To use Willup's services, you must:

  • Be at least 18 years of age and legally competent to enter into binding contracts
  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account password and accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account
  • Provide valid consent for all required data processing activities

You are responsible for maintaining the confidentiality of your login credentials. Willup will not be liable for any loss or damage arising from your failure to protect your account information.

4. User Obligations and Prohibited Uses

When using Willup, you agree not to:

  • Provide false, inaccurate, or misleading information
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Upload or transmit viruses, malware, or any malicious code
  • Interfere with or disrupt the service or servers
  • Use automated systems or software to extract data from our platform
  • Share or resell access to the service without authorization

Willup Vault Usage Guidelines:

When using the Willup Vault, you additionally agree to:

  • Appropriate Content: Upload only estate-related documents that are relevant to your estate planning needs
  • Storage Limits: Manage your storage within the 500MB free allocation; exceeding this limit may require upgrading to a premium storage plan
  • Legal Compliance: Upload only documents you have the legal right to store and share
  • Prohibited Content: Do not upload illegal content, copyrighted materials without authorization, obscene or offensive material, or content that violates third-party rights
  • File Integrity: Ensure uploaded files are not corrupted and are in commonly supported formats
  • Backup Responsibility: While we implement robust backup systems, you are responsible for maintaining your own copies of critical documents

Storage Management: If your vault reaches the 500MB storage limit, you will be notified and may need to either delete existing files or upgrade to a premium storage plan to continue uploading documents. We reserve the right to prevent further uploads once the limit is reached.

Violation of these obligations may result in immediate termination of your account and potential legal action.

5. Intellectual Property Rights

All content, features, and functionality on Willup, including but not limited to text, graphics, logos, software, and design elements, are the exclusive property of Willup and are protected by South African and international copyright, trademark, and other intellectual property laws.

You retain ownership of the personal information and content you provide through our service. By using Willup, you grant us a limited license to use, store, and process your information solely for the purpose of providing our services to you.

You may not reproduce, distribute, modify, or create derivative works of any content from our platform without express written permission from Willup.

6. Data Protection and POPIA Compliance

Willup is committed to protecting your privacy and complying with the Protection of Personal Information Act (POPIA), 2013. We process your personal information in accordance with our Privacy Policy and the following principles:

  • Accountability: We take responsibility for all personal information under our control
  • Processing limitation: We collect and process information only for lawful, specified purposes
  • Purpose specification: We clearly communicate why we collect your information
  • Further processing limitation: We don't use your data for incompatible secondary purposes
  • Information quality: We ensure your information is complete, accurate, and up-to-date
  • Openness: We're transparent about our data processing activities
  • Security safeguards: We implement appropriate technical and organizational measures
  • Data subject participation: You have rights to access and correct your information

You have the right to file a complaint with the Information Regulator if you believe your rights under POPIA have been violated.

Willup may integrate with or provide access to third-party services, including:

  • Payment processors (PayFast) for secure transactions
  • Legal professionals and attorneys for specialized advice
  • Financial advisors and estate planning consultants
  • Document verification services

Your use of third-party services is subject to their respective terms and conditions. Willup is not responsible for the content, accuracy, or practices of third-party services. We recommend reviewing their terms before engaging with any third-party provider.

When you use third-party services through our platform, you authorize us to share necessary information to facilitate the service, in accordance with our Privacy Policy and your consent.

8. Payment Terms

Willup offers both free and paid services:

Free Services:

  • Will Creation: Complete will creation tool with South African legal compliance
  • Beneficiary Management: Unlimited beneficiaries and allocation management
  • Asset Tracking: Comprehensive asset inventory across all categories
  • Willup Vault: 500MB of secure, encrypted document storage included free with every account
  • Testamentary Trusts: Trust provisions for protecting minor or vulnerable beneficiaries at no additional cost
  • Executor Guide Access: Basic estate administration guidance

Premium Value Included Free: The Willup Vault with 500MB storage and testamentary trust provisions are professional estate planning features worth thousands of rand, provided at no cost to all users.

Paid Services:

  • Comprehensive Executor Guide: One-time payment for lifetime access to detailed estate administration workflows
  • Premium Vault Storage: Additional storage beyond the free 500MB allocation (pricing based on storage tier selected)
  • Priority Support: Expedited customer support and assistance
  • Professional Consultations: Optional access to legal and financial advisory services through our partner network

Premium Vault Storage Tiers:

Users who require more than 500MB of storage can upgrade to premium storage tiers. Pricing details are available in your account dashboard. Premium storage benefits include:

  • Additional storage capacity (up to 5GB or more)
  • Enhanced file format support
  • Priority document processing
  • Extended version history retention

All prices are displayed in South African Rand (ZAR) and include applicable taxes. Payment is processed securely through our payment service provider, PayFast.

Refund Policy: Due to the immediate access nature of digital products, all sales are final. Refunds will only be issued in cases of technical failure preventing access to purchased services.

We reserve the right to modify pricing for our services at any time. Changes will not affect purchases already made.

9. Limitation of Liability

To the maximum extent permitted by South African law:

  • Willup provides services on an "as is" and "as available" basis without warranties of any kind
  • We do not guarantee that our service will be uninterrupted, secure, or error-free
  • We are not liable for any indirect, incidental, special, or consequential damages
  • Our total liability for any claims shall not exceed the amount you paid to us in the 12 months preceding the claim
  • We are not responsible for the legal validity or effectiveness of wills created using our platform

Critical Notice: While Willup provides tools to facilitate will creation, we strongly recommend having your will reviewed by a qualified attorney before execution to ensure it meets all legal requirements and accurately reflects your intentions.

10. Termination and Suspension

Willup reserves the right to suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms of Service
  • Fraudulent or illegal activity
  • Extended periods of inactivity (beyond 24 months)
  • Request from law enforcement or regulatory authorities
  • Technical or security reasons

You may terminate your account at any time through your account settings or by contacting our support team. Upon termination:

  • Your access to the service will cease immediately
  • Your personal data will be handled in accordance with our Privacy Policy and POPIA requirements
  • You may request a final export of your data within 30 days of termination
  • Paid services will not be refunded unless required by law

11. Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of the Republic of South Africa. Any disputes arising from or relating to these terms or the use of our services shall be subject to the exclusive jurisdiction of the South African courts.

Dispute Resolution Process:

  1. Negotiation: We encourage users to first contact us directly to resolve any disputes informally
  2. Mediation: If informal resolution fails, parties agree to attempt mediation before pursuing litigation
  3. Arbitration: Disputes may be referred to arbitration under the Arbitration Act, 1965
  4. Litigation: As a last resort, disputes may be brought before the appropriate South African court

Nothing in these terms limits your rights under South African consumer protection legislation, including the Consumer Protection Act, 2008.

12. Changes to Terms of Service

Willup reserves the right to modify these Terms of Service at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify you via email at your registered email address
  • Display a prominent notice on our platform
  • Provide at least 30 days' notice before changes take effect

Your continued use of Willup after the effective date of changes constitutes acceptance of the modified terms. If you do not agree to the changes, you must stop using our services and may terminate your account.
